2) Acceptance of these Terms
By accessing or using the Site, you (“you”, the “User”) agree to be bound by these Terms of Use (the “Terms”). If you do not agree, you must not use the Site. We may update these Terms at any time; updates apply from publication on the Site.
3) Our role (information-only directory/portal)
We operate an online directory and advertising portal for listings and related services. We are not an agent, broker, mandatary or escrow service, and we are not a party to any transaction between Users and advertisers. We do not hold client monies. Listings and third-party content are provided under the responsibility Advertiser/business client, your commercial relationship with us is governed by our Advertiser Terms of Sale, not by these Terms.
4) Access
Access to the Site is free.
5) Acceptable use
You agree not to:
• violate any applicable law or third-party rights;
• post unlawful, misleading, defamatory, hateful, discriminatory or otherwise inappropriate content;
• upload malware, attempt to breach or probe Site security, or interfere with normal operation;
• copy, scrape, index, or bulk-extract Site data without our prior written consent;
• circumvent or interfere with any access or usage limits.
We may suspend or terminate access for breach (see §15).
6) Intellectual property
The Site and its original content, structure, interface, graphics and databases are protected by intellectual-property rights and are our property or that of our licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable licence to access and use the Site for personal, non-commercial purposes. You must not reproduce, modify, distribute or create derivative works from the Site or its content without our prior written consent, except as permitted by mandatory law.
7) User-generated content (UGC) & licence you grant
Where the Site allows you to submit content (e.g., business listings, enquiries, comments), you:
• warrant you own or have rights to that content and that it is accurate and lawful;
• remain responsible for your content;
• grant us a worldwide, royalty-free, non-exclusive, transferable and sublicensable licence to host, store, reproduce, adapt, translate, display and distribute such content for operating, promoting and archiving the Site.
We may moderate, reclassify or remove content that breaches these Terms or the law.
8) Notice-and-takedown (French LCEN)
In accordance with Article 6 of the LCEN, you may notify illegal content by emailing support@englishspoken.com with: date; your identity; description and precise URL of the content; reasons (with legal citations, if possible); and a copy of any prior correspondence with the author/rights holder. We will assess and, where appropriate, remove or disable access to the content.
9) Listings, third-party content and links
Listings, photos, prices, descriptions and other materials are provided by advertisers or third parties under their sole responsibility. We do not warrant their completeness or accuracy and do not provide professional, legal or financial advice. The Site may contain links to external sites; we are not responsible for their content or practices.
10) No advice – safety and fraud prevention
The Site provides general information only. Before making decisions (e.g., engaging a service provider or entering into a contract), obtain appropriate professional advice. Beware of scams; do not send funds to unknown parties; verify identity and credentials independently.
11) Privacy and cookies
Your personal data is processed in accordance with our Privacy Policy and Cookies Policy (GDPR/ CNIL). By using the Site, you acknowledge these policies.
12) Availability, maintenance and security
We aim for reasonable availability but do not guarantee uninterrupted access. We may suspend or limit access for maintenance, security or operational reasons. You are responsible for your equipment, internet connection and anti-virus protection.
13) Warranty disclaimer (to the extent permitted by French law)
To the maximum extent permitted by law:
The Site is provided “as is”. We do not guarantee that it will meet your requirements, be error-free, uninterrupted or free of harmful components, nor that third-party content will be accurate or current. Statutory consumer rights remain unaffected.
14) Liability
To the maximum extent permitted by French law:
• We are not liable for indirect or consequential loss (including loss of profit, revenue, business, opportunity, data or goodwill).
• For Users who have not purchased services from us, our aggregate liability arising from or in connection with the Site is capped at €100.
• For Users who have purchased services via separate terms, our liability is capped as stated in the applicable contract.
• Nothing excludes liability for death or personal injury caused by our negligence, dol or faute lourde, or any liability that cannot be excluded under mandatory law.
15) Suspension and termination
We may suspend or terminate access (and delete content) if you breach these Terms or if required by law. You may close your account at any time. Clauses intended to survive termination shall remain in effect.
16) Force majeure
We are not liable for any failure or delay caused by events beyond our reasonable control (force majeure within the meaning of Article 1218 of the French Civil Code).
17) Assignment
We may assign or transfer our rights and obligations under these Terms to an affiliate or acquirer. You may not assign your rights without our prior written consent.
18) Entire agreement; severability; no waiver
These Terms (together with policies referenced herein) constitute the entire agreement between you and us regarding the Site. If any provision is held invalid, the remainder remains enforceable. Our failure to enforce a right is not a waiver.
19) Governing law and jurisdiction
These Terms are governed by French law.
Consumers may bring claims before the courts of their place of residence or of the place where the harmful event occurred, as provided by law. Otherwise, the courts within the jurisdiction of our registered office shall have jurisdiction./p>
